Agreement to Terms
These Terms of Service constitute an agreement made between you, whether personally or on behalf of an entity ("you") and Ctrl Shift Run LLC ("Ctrl Shift Run," "We," "Us," or "Our"), concerning your access to and use of this website and the services offered by Ctrl Shift Run LLC, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "site"). Ctrl Shift Run is a company founded by Nikki Quinn Baker ("Nick"); throughout these Terms, "We," "Us," and "Our" refer to Ctrl Shift Run LLC.
Intellectual Property Rights
Unless otherwise indicated, the site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us.
User Representations
By using the site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms of Service; (2) you will not use the site for any illegal or unauthorized purpose; and (3) your use of the site will not violate any applicable law or regulation.
Prohibited Activities
You may not access or use the site for any purpose other than that for which we make the site available. As a user of the site, you agree not to:
- Systematically retrieve data or other content from the site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Interfere with, disrupt, or create an undue burden on the site or the networks or services connected to the site.
- Attempt to impersonate another user or person.
User Generated Contributions
The site may provide you with the opportunity to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality.
Any information or content that you post or transmit using our services ("Contributions") is your sole responsibility.
By posting your Contributions to any part of the site, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, publish, broadcast, retitle, archive, store, cache, and publicly display your Contributions.
Third-Party Websites and Content
The site may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, or other content belonging to or originating from third parties ("Third-Party Content"). We are not responsible for any Third-Party Websites accessed through the site or any Third-Party Content posted on the site.
No Guarantee of Financial Results
While our services may assist in identifying or generating leads or opportunities, Ctrl Shift Run LLC does not guarantee any specific monetary results, revenue, profits, or organizational growth. Any leads or opportunities generated through your use of the services are provided "as is" and are your sole responsibility to qualify, pursue, negotiate, and close. We do not make any claims or promises of "get rich quick" schemes or assurances that you will become rich.
Pricing, Billing, and Membership
This section explains how our services are priced and billed. We confirm the final price in writing before any website project or campaign begins.
Custom websites start at $1,000 and are quoted as one fixed price, agreed in writing before any work begins. We do not bill website projects by the hour. Full payment is required before work begins.
Google Ads management is a monthly membership that starts at $500 a month. Memberships are billed on your signup date and renew on the same day each month.
If we raise our membership prices later, members keep the monthly rate they started with for as long as their membership stays active.
Ad spend is separate from the membership fee. It is the budget you set for Google to show your ads, and it is paid to Google from your own account, not to us.
Memberships run month to month. To cancel, give us 30 days' notice. If a payment fails on your renewal date, the membership ends on that same date.
Client Responsibility and No Refunds for Unused Services
If you purchase a service and do not use it, no refunds will be issued. It is your responsibility to actively engage with and utilize the service, including providing timely materials and collaboration as requested. By way of example, no refund will be provided if you fail to provide necessary content or assets for the project, fail to communicate or respond to outreach, or otherwise become unresponsive. While we will clearly outline expectations, timelines, and required inputs to deliver an excellent service, it is not our responsibility to pursue or chase you for those items.
Refusal of Service for Illegal Activities
We reserve the right to refuse service in any instance where the requested work, the client’s business activities, or the intended use of our services is illegal or promotes illegal conduct. We also refuse service where payment is made with funds that were obtained unlawfully. We do not tolerate illegal activities; accepting such work would conflict with our values and our commitment to comply with applicable laws and regulations.
Changes to These Terms of Service
We may update these Terms of Service from time to time. You are advised to review these Terms of Service periodically for any changes.
